Freelance Creative Services Agreement

Effective November 1st, 2025

This Agreement is between Matt Ellis Creative (“Contractor”) and the individual or company engaging services (“Client”). By clicking “I Agree” or digitally signing, Client accepts these terms.

1. Services

Contractor will provide creative direction and related services as outlined in written proposals or invoices. Each proposal or invoice becomes part of this Agreement.

2. Independent Contractor

Contractor acts as an independent business, not an employee. Client is not responsible for taxes or benefits.

3. Payment Terms

All invoices are due within 30 days of issue unless otherwise stated.
A 1.5% monthly fee (18% annual) applies to overdue balances.
Contractor may pause or withhold delivery for late or missing payments.
Client is responsible for all collection or legal fees related to unpaid invoices.

4. Confidentiality & Promotion

Both parties will protect confidential information. Contractor may display completed work for self-promotion unless agreed otherwise in writing.

5. Liability & Disputes

Contractor’s liability is limited to the total amount paid by Client. Disputes will be resolved under California law through binding arbitration in Los Angeles County.

6. Acceptance

By checking “I Agree” or signing digitally, Client confirms understanding and acceptance of these terms.
